Terms of Service
Effective October 23, 2026
These Terms are a contract between you and Ridgewise, a sole proprietorship based in Amarillo, Texas ("Ridgewise," "we," "us"). They cover getridgewise.com, the Ridgewise app, the websites we host for contractors, and everything else we provide (together, the "Service").
The short version: Ridgewise is software that helps you run your roofing business. You are the contractor; you are responsible for your work, your prices, your contracts and how you treat your customers. Your subscription renews automatically until you cancel. Our liability is limited, and disputes go to individual arbitration in Potter County, Texas, not to court or class actions. Please read the whole thing; the short version doesn't replace it.
1. Agreeing to these Terms
You accept these Terms when you check the box at sign-up, click to accept them, or use the Service. If you use the Service for a company, you confirm you have authority to bind that company, and "you" means the company. You must be at least 18 years old and able to form a binding contract. The Service is offered for businesses in the United States. It is not meant for personal, family or household use.
Our Privacy Policy explains how we handle information and is part of these Terms.
2. Words we use
- Customer or you: the business that signs up for Ridgewise.
- Users: you and the people you invite to your account (owners, office staff, crew).
- Homeowners: your own customers and prospects, including anyone who uses a bid, invoice, payment page or website you send or publish through Ridgewise.
- Customer Data: everything you or your Users put into the Service or collect through it, including Homeowner information, photos, receipts, prices and messages.
- Your Website: the website we host for you, on a Ridgewise address or your own domain.
3. Your account
- Give us accurate information and keep it current, especially your email address, which is where we send important notices.
- Keep passwords private and use a strong one. You are responsible for everything done under your account and by Users you invite, as if you did it yourself.
- Tell us right away at support@getridgewise.com if you think someone got into your account without permission.
- You decide who gets access. When someone leaves your company, remove their login.
4. Free trial, subscription and billing
Free trial
New companies get a 30-day free trial. A card is required to start it, through our payment processor, Stripe. If you don't cancel before the trial ends, your subscription starts automatically and your card is charged the plan price you chose. We will email you a reminder at least 7 days before your trial ends. You can cancel during the trial and you won't be charged.
Plans, automatic renewal and price
The monthly plan is $199 per month and the yearly plan is $1,990 per year, plus any applicable taxes, unless a different price was shown when you subscribed. Your subscription renews automatically at the end of each billing period, and your card is charged, until you cancel. We may change prices for future periods; we'll email you at least 30 days before a price change affects you, and you can cancel before it takes effect.
Cancelling
You can cancel anytime, online, in the app under Billing → Manage billing, or by emailing us. Cancellation takes effect at the end of the period you've already paid for; you keep access until then. Payments are non-refundable and we don't give partial refunds or credits for unused time, except where the law requires it or we decide otherwise in writing.
Failed payments
If a charge fails, Stripe will retry it and we'll let you know. If it still isn't paid, we may suspend your office and unpublish Your Website until it is. You authorize us (through Stripe) to charge your card on file for all fees when due, including any updated card details your bank provides.
Promotions and the founding-member price
Promotional prices, including the "FOUNDER" code ($50 off the monthly plan every month while the subscription stays active, for the first 25 companies to use it), apply only as stated when you redeem them, can't be combined unless we say so, have no cash value, and end if your subscription ends. We may stop offering a promotion at any time; that doesn't change one you already redeemed while your subscription stays active.
Referral credits
When a company signs up with your referral link and pays its first full (non-trial) bill, we add a credit of 25% of your monthly plan price to your account balance, which Stripe applies to your next bill(s). Credits are given once per referred company, have no cash value, can't be transferred, and are lost if your subscription ends. Referring yourself, a company you own or control, or fake accounts doesn't count, and we may reverse credits we find were earned that way. We may change or end the referral program at any time for future referrals.
Taxes
Prices don't include taxes. You are responsible for any sales, use or similar taxes on your subscription, which we may collect where required.
5. Card payments from your Homeowners (Stripe)
If you turn on card payments, payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Services Agreement"). By connecting Stripe through Ridgewise, you agree to the Stripe Services Agreement as it may be changed by Stripe from time to time. As a condition of Ridgewise enabling payment processing through Stripe, you agree to give us accurate and complete information about you and your business, and you authorize us to share it, and transaction information related to your use of Stripe, with Stripe.
- Money Homeowners pay goes to your own Stripe account. Ridgewise never holds, receives or transfers your funds and is not a bank or money transmitter.
- Stripe charges you its processing fees. Ridgewise doesn't add a fee to card payments unless we tell you in advance.
- You alone are responsible for refunds, chargebacks, disputes and any losses on payments made to you, and for your agreement with Stripe.
6. You are the contractor
Ridgewise is a tool. We don't do roofing work, we aren't a party to your contracts with Homeowners, and we don't supervise your business. You are solely responsible for:
- Your work: the quality, safety and timeliness of every job; your crews and subcontractors; job-site safety; building codes; permits; and the warranties you give.
- Your licenses and insurance: holding every license, registration, certification and insurance policy your work requires, and keeping them current. Ridgewise's renewal reminders are a convenience, not a guarantee.
- Your prices and bids: every price, measurement, rate, discount, tax and term on your bids and invoices. Ridgewise calculates totals from the numbers and settings you enter; check every bid before you send it.
- Your contracts and required notices: making sure your bids, contracts, warranties and invoices are complete and lawful, and include every disclosure and notice the law requires, for example a homeowner's right to cancel a sale made at their home (such as the FTC Cooling-Off Rule), lien and payment notices under the Texas Property Code, and any notices required where you work.
- Insurance claims: following the law on insurance-related roofing work, including never waiving, paying, rebating or promising to cover a Homeowner's insurance deductible and never acting as a public adjuster unless you're licensed to.
- Liens and deadlines: sending any lien notices and filing any liens on time. Ridgewise doesn't track lien deadlines for you unless and until we offer that feature, and even then you remain responsible for meeting them.
- Taxes and books: your taxes, sales tax and bookkeeping. Profit figures and "tax set-aside" amounts are estimates from your own data, not tax advice.
- Disputes with Homeowners about anything, including work, money, warranties and damage.
7. Messages to Homeowners
Bids, invoices, follow-ups, payment reminders, review requests and checkup reminders are sent for you and in your name. You are the sender, and you are responsible for following the laws that apply to them, including the CAN-SPAM Act, the Telephone Consumer Protection Act and state laws. You confirm that you have each Homeowner's permission to contact them at the email address or phone number you enter, and that you'll stop contacting anyone who asks you to. Automatic messages can be delayed or fail for reasons outside our control; don't rely on them for anything time-critical.
8. Reviews, AI and Your Website
- Reviews must be real. Only post reviews and testimonials on Your Website that real customers actually gave you, in their own words, and don't pay or reward anyone for a positive review. Fake, bought, AI-written or altered reviews are illegal under the FTC's rule on consumer reviews and can bring large fines. We may remove any review we believe isn't genuine.
- AI drafts. Some text (website pages, bid scopes, receipt readings) is drafted by artificial intelligence or templates from the facts you give us. Drafts can contain mistakes. Read them, fix them, and only publish or send what is true. AI never sets your prices. Nothing in the Service is legal, tax, insurance, engineering or financial advice.
- Your Website content. You're responsible for everything on Your Website: business claims, license numbers, certifications, warranties, photos and logos. Only upload photos and logos you own or have permission to use. You must keep Your Website truthful and lawful. We may edit or take down content we believe is unlawful, misleading or infringing.
- Addresses and domains. Your Website lives at a Ridgewise address we provide, or on your own domain if you connect one (you keep that domain). Ridgewise addresses belong to us. Your Website is published while your subscription or trial is active and may be taken offline when it ends.
9. Rules for using Ridgewise
You and your Users won't:
- break any law, or use the Service to deceive, defraud, harass or discriminate against anyone;
- send spam, or contact people who haven't agreed to hear from you or who asked you to stop;
- upload anything you don't have the right to share, or anything harmful (viruses, malware);
- try to get into accounts or data that aren't yours, probe or attack our systems, or get around limits or security;
- copy, resell, rent or build a competing product from the Service, or scrape it with bots;
- store payment card numbers, Social Security numbers, health records or similar sensitive data in notes, messages or uploads.
10. Your data
- You own Customer Data. You give us permission to host, copy, process, transmit and display it only as needed to run, secure, support and improve the Service and as our Privacy Policy describes.
- Homeowner information. For Homeowner information, you decide what is collected and why, and we process it for you as your service provider. You are responsible for having a lawful basis and any notices or consents needed to collect it and to give it to us.
- Combined data. We may create anonymous, combined statistics (for example, average job size across all roofers) that don't identify you or any person, and use them for any purpose.
- Getting your data out. You can download your reports and records as spreadsheets anytime while your account is active.
- After you leave. We keep your data for 30 days after your subscription ends so you can come back or export it. After that we may delete it; copies in backups are removed over time as backups expire. We may keep information we must keep by law or to resolve disputes.
- Backups are on you too. We back up our systems, but we can't promise data will never be lost. Keep your own copies of anything important (signed contracts, financial records).
11. Our property
Ridgewise, its software, design, templates, text and trademarks belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription is active. If you send us ideas or feedback, we may use them freely with no obligation to you.
12. Other companies' services
The Service relies on and links to services run by others, such as Stripe, Google, email and text-message providers and AI providers. Their terms apply to your use of them, and we aren't responsible for them or for any outages, errors or changes on their side.
13. Changes to the Service
We're always improving Ridgewise and may add, change or remove features. Features marked "Coming soon" are plans, not promises, and you shouldn't subscribe because of them. If we remove a major feature you pay for, we'll tell you in advance. We aim for the Service to be available all the time but don't guarantee it; maintenance, outages and problems at our providers can interrupt it.
14. Suspension and ending this agreement
You can stop using Ridgewise anytime by cancelling (section 4). We may suspend or end your access, with notice where reasonable, if you don't pay, break these Terms, put others or the Service at risk, or if the law requires it, and we may stop offering the Service with at least 30 days' notice (refunding any prepaid time we can't provide). Sections that by their nature should last after this agreement ends will, including sections 5 through 7, 10, 11 and 15 through 20.
15. No warranties
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We don't promise that the Service will be uninterrupted, error-free or secure, that messages or reminders will be delivered, that calculations, AI drafts or reports will be accurate, or that the Service will meet your needs or win you business.
16. Limits on our liability
To the fullest extent the law allows: (a) we won't be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, jobs, customers, goodwill or data, including losses from a missed or late message, reminder, payment, deadline, lien, license or insurance renewal, or from a pricing or calculation error, even if we were told they were possible; and (b) our total liability for all claims about the Service or these Terms is limited to the greater of the amount you paid us in the 12 months before the event that gave rise to the claim, or $100.
These limits apply to every kind of claim (contract, tort, negligence, statute or otherwise), but not to anything the law doesn't allow us to limit.
17. Your responsibility for claims against us
You will defend, indemnify and hold harmless Ridgewise, its owner, employees and contractors from any claims, damages, losses, fines, penalties and costs (including reasonable attorneys' fees) arising from: your work or any roof, property or job; your dealings, contracts or disputes with Homeowners, employees or subcontractors; Customer Data or Your Website content; messages sent for you; payments made to you; or your or your Users' breach of these Terms or of any law. We'll tell you about the claim and may take part with our own lawyer at our cost.
18. Resolving disputes: arbitration and no class actions
Talk to us first. If you have a problem with Ridgewise, email support@getridgewise.com and give us 30 days to try to fix it before starting a formal claim.
Any dispute between you and us arising from or relating to the Service or these Terms will be resolved by binding individual arbitration, not in court, except that either side may bring an individual claim in small claims court, or ask a court to stop misuse of its intellectual property. You and we each give up the right to a jury trial and to take part in a class, collective or representative action.
The arbitration will be run by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Potter County, Texas (or by video or on written submissions if both sides agree). The Federal Arbitration Act governs this section. The arbitrator may award only individual relief and can't combine claims of different customers. If the class action waiver is found unenforceable for a claim, that claim must go to court in Potter County, Texas and not to arbitration. Any claim must be brought within one year after it arises, or it is permanently barred, to the extent the law allows.
19. Governing law
These Terms are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law rules. Where a court case is allowed under these Terms, it must be brought in the state or federal courts for Potter County, Texas, and both sides agree to those courts' jurisdiction.
20. General terms
- Changes to these Terms. We may update these Terms. For important changes we'll give at least 30 days' notice by email or in the app; using the Service after they take effect, or accepting them in the app, means you agree. Changes don't apply to disputes that started before them.
- Electronic notices and signatures. You agree to get notices, invoices and agreements from us electronically and that your electronic acceptance is as binding as a signature on paper. We send notices to your account email; you send them to support@getridgewise.com.
- Transfer. You may not transfer this agreement without our written consent. We may transfer it, including to a company we form or to a buyer of our business, and will tell you if we do.
- Events beyond control. Neither side is responsible for delays caused by things outside its reasonable control, such as outages at providers, internet failures, storms, or government action.
- Everything else. These Terms (with the Privacy Policy and any order or offer you accepted) are the whole agreement between us about the Service. If a part is unenforceable, the rest still applies. Not enforcing a right isn't a waiver. We're independent businesses; nothing here makes us partners, employees or agents of each other. Headings are for convenience only.
21. For Homeowners
If you opened a bid, invoice, payment page or website from a roofing contractor: that contractor uses Ridgewise to run their business. Your agreement for roofing work, including price, warranty, schedule and payment, is only with the contractor, not with Ridgewise. Ridgewise doesn't perform, supervise or guarantee their work. When you sign a bid electronically, you agree that your typed name is your signature and that the contractor may keep an electronic record of it, including the time, your IP address and your browser. Card payments are processed by Stripe and go to the contractor. For questions about work, pricing or payments, contact the contractor directly. See our Privacy Policy for how information about you is handled.
